Please read these terms carefully before engaging any of Ayana Innovations' services. These terms govern your use of our website and the services we provide.
1. Acceptance of Terms
By accessing or using the services provided by Ayana Innovations ("we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Services
Ayana Innovations provides digital product development services including web design, mobile applications, e-commerce solutions, AI integrations, and management systems. Our web services — including websites, online stores, and management systems — are provided on a monthly subscription basis, billed in advance. Specific deliverables, timelines, and pricing for each engagement are defined in a separate proposal or agreement.
3. Project Inquiries & Quotes
Submitting a project inquiry does not constitute a binding contract. Quotes and proposals are valid for 30 days from the date issued. A project is confirmed only when a signed agreement and any required deposit or set-up fee are received.
4. Payment Terms
Set-up fees, deposits, and monthly fees are as stated in your proposal. Set-up fees and deposits are generally non-refundable once work has commenced. Monthly fees are billed in advance and are due on the agreed billing date. Late payments may incur interest charges and service suspension.
5. Client Responsibilities
You agree to provide accurate information, timely feedback, required content, and access to necessary systems. Delays caused by client-side dependencies may affect project timelines and incur additional charges as outlined in your proposal.
6. Intellectual Property
Upon full payment, ownership of custom-developed deliverables transfers to the client, excluding third-party libraries, tools, and pre-existing frameworks. Ayana Innovations retains the right to display completed work in its portfolio unless otherwise agreed in writing.
7. Revisions & Change Requests
Each package includes a defined number of revisions or monthly changes as stated in your proposal. Additional changes, scope additions, or change requests beyond the agreed scope will be quoted separately and may affect timelines.
8. Service Availability
While we strive for high availability, our services and hosted solutions are provided on a best-effort basis. We are not liable for downtime caused by third-party providers, force majeure, or factors outside our reasonable control.
9. Limitation of Liability
Ayana Innovations is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunity. Our total liability for any claim is limited to the fees paid for the service giving rise to the claim.
10. Termination
Either party may terminate an engagement with written notice as defined in the project agreement. Upon termination, all outstanding fees become immediately due. Monthly services may be cancelled with 30 days written notice.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of any agreement.
12. Changes to Terms
We may update these Terms & Conditions at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
13. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the South African courts.
